Terms of Service

Effective date: October 12, 2026

These Terms of Service ("Terms") govern your use of the payment services provided by LastPay LLC, a Florida limited liability company ("Last," "we," "us") through lastpayments.com, our APIs, plugins (including our WooCommerce and QuickBooks integrations), and related services (the "Services").

1. Eligibility and accounts. You must be a business or an individual acting for a business, at least 18 years old, and able to enter a binding contract. You agree to give accurate information during onboarding and keep it current. We may verify your identity and business details, including through third parties.

2. Payment processing partner. Payment processing is provided by the payment processor and its sponsor banks ("Processor"). By using the Services, you also agree to the Processor's merchant terms, which are provided during onboarding and are part of these Terms. Last is not a bank.

3. Your obligations. You will (a) comply with all applicable laws and card network rules (Visa, Mastercard, American Express, Discover); (b) not process payments for prohibited businesses listed in our Acceptable Use Policy, provided during onboarding; (c) clearly disclose your refund, return, and cancellation policies to your customers; and (d) handle chargebacks and disputes promptly.

4. Fees. You agree to pay the fees listed in your pricing schedule shown in your dashboard or agreement. We may change fees with at least 30 days' notice. Fees may be deducted from payouts.

5. Payouts, reserves, and holds. We pay out settled funds to your linked bank account on the schedule shown in your dashboard. We or the Processor may delay payouts, set a reserve, or hold funds if we reasonably suspect fraud, excessive chargebacks, a breach of these Terms, or other risk.

6. Chargebacks and refunds. You are responsible for all chargebacks, refunds, reversals, fines, and related fees. We may recover these amounts from your balance, reserve, or linked bank account.

7. Surcharging and convenience fees. If you add a surcharge, you must follow our Surcharging Rules, provided in your dashboard, card network rules, and state law. You are responsible for compliance.

8. Data and security. You will protect customer data and comply with PCI DSS as it applies to you. Our handling of personal information is described in our Privacy Policy at lastpayments.com/privacy.

9. Third-party integrations. Integrations such as WooCommerce, WordPress, and QuickBooks are provided by third parties. We are not responsible for their availability or behavior. When you connect one, you authorize us to exchange the data needed to make it work.

10. Suspension and termination. You may close your account at any time. We may suspend or end your access for risk, legal, or compliance reasons, or for a breach of these Terms. Obligations for chargebacks, refunds, and fees survive termination.

11. Disclaimers. The Services are provided "as is." To the extent allowed by law, we disclaim all implied warranties.

12. Limitation of liability. To the extent allowed by law, our total liability is limited to the fees you paid us in the 12 months before the claim. We are not liable for indirect, incidental, or consequential damages.

13. Indemnification. You will indemnify us against claims arising from your products, your customers, your breach of these Terms, or your violation of law or network rules.

14. Governing law and disputes. These Terms are governed by the laws of the State of Florida. Any dispute will be resolved exclusively in the state or federal courts located in Miami-Dade County, Florida.

15. Changes. We may update these Terms and will give notice of material changes. Continued use means you accept them.
